When forming your entity, you must apply for a certification with the states that you wish to form your entity in. There are a couple of types of certificates you can apply for based on the entity's type.
A Certificate of Formation (also known as the articles of organization), is a document that must be filed to legally create an LLC . This certificate serves the purpose of proving the company's establishment and provides the state with all the information that pertains to the formations of the company. Some states call this the Certificate of Organization.
A Certificate of Incorporation is a document that must be filed to legally establish a corporation. This serves the purpose of proving that the corporation has been formed. This document makes up a large part of the organizational and legal documents of a corporation. Some states refer to this as the Articles of Incorporation.
