With a Corporate Administration subscription, you have access to a portfolio of services provided by a professional corporate paralegal. Some services are executed on a quarterly basis while others are on an annual basis (the subscription is an annual subscription).
Quarterly services include:
- Equity & Cap Table Management, including administration of equity-related workflows as requested by the Company, along with quarterly Cap Table Report syncs;
- Corporate Record Management, updating legal reports in your PaperOS account to reflect data from documents that have been uploaded to your PaperOS File Cabinet;
- State Compliance Management, submitting new state registrations as needed, and coordinating information updates necessary for annual state filings, as needed;
- Data Room Management, and building and organizing custom data rooms;
- Investor Rights Monitoring, including circulating updates and requirements related to "investor information rights" to ensure compliance with reporting obligations, as needed;
- Board Planning & Review (up to 60 minutes) with the paralegal assigned to your account. This meeting can be used to plan for board meetings, review updates to the corporate record, data rooms, pending equity grants, upcoming transactions, state registrations, and upcoming renewals.
- Quarterly board meeting attendance and minutes by a corporate paralegal.
Annual services include:
- Corporate Record Audit. We will review all corporate documents in your PaperOS account and ensure all corporate documentation is correctly mapped to the applicable PaperOS reports and records so that your entity can move forward with business operations–whether you are looking to continue operating in the ordinary course or begin a financing event–without any due diligence snags.
- 409A Valuation Service, as needed.
- Corporate Planning & Review meeting (60 minutes) to review financing plans, regulatory policy updates, and corporate audit results.
Pricing for this service depends on the current size of your company, based on the number of employees or stockholders, or the amount raised. See below for payment details:
| $5400/yr - Tier 1 | Less than $1 million raised, and under 25 stakeholders. |
| $6600/yr - Tier 2 | Between $1-5 million raised, or between 26-50 stakeholders. |
| Custom quote - Tier 3 | More than $5 million raised, or more than 51 stakeholders. |
