Corporate Compliance

Entity management, state compliance, and governance for companies without outside investors or a third-party board

Corporate compliance keeps your entity in good standing. It covers entity management, state compliance, entity portfolios, and corporate governance. It is also designed for companies that have third-party board members or outside investors. If you've raised venture capital and have a board, see Corporate Administration instead.

What's included:

  1. Entity Management — the entity lifecycle, formations, foreign qualifications, DBAs, certificates of good standing, and the dissolutions.

  2. State Compliance — proactive management of your state registrations and annual filings across the states where you operate; we surface and communicate state requirements and deadlines, we do not file your taxes

  3. Entity Portfolios — manage compliance across one or many entities under a single subscription

  4. Governance — maintain corporate records, organizational documents, and routine consents for entities without an outside board

Who's it for:

Operating companies and holding structures with one or more entities that need ongoing compliance but do not have outside investors or a third-party board.

How it differs from Corporate Administration: Corporate Administration is the full-service package for venture-backed and Pre-M&A companies — it adds cap-table and equity management, board-level compliance, investor information rights monitoring, and 409A coordination on top of compliance.

Pricing:

Corporate Compliance is priced per entity by the registrations we manage. The recommended placeholder pricing is a base price of $198/year per entity (registered agent and filing agent fees) with state filing fees being help and billed separately. Entities with a broader multi-state footprint are quoted by number of state registrations managed.
