GP, LP, SPV, RUV, Carry, Management Fee, Capital Call, & K-1 Definitions

What GP, LP, SPV, RUV, Carry, Management Fee, Capital Call, and K-1 mean.

A GP (general partner) manages a fund, where as LPs (limited partners) provide capital with limited liability. An SPV pools investors for a single deal whereas an RUV rolls many investors into one cap-table line. Carried interest is the GP's share of profits. The management fee funds operations. A capital call draws committed LP capital when needed, and a K-1 reports each LP's share of income at tax time.
