  1. Formation Documents
    Regardless of whether a Limited Partnership, LLC, or Series LLC is formed, there are standard formation documents that need to be filled out. Fortunately, we have all the necessary formation documents on our platform.
    1. Limited Partnership Agreement (LPA): LPA is a document used under the Limited Partnership Model, and is similar to an LLC's Operating Agreement. It spells out what GPs and LPs can and can't do in the partnership, regulating things like how someone becomes or is removed as a partner, partner rights, how investors make contributions to the partnership, distribution of investment proceeds, voting rights, etc.
    2. Operating Agreement: An Operating Agreement is a document used under a Management LLC or Series LLC model, and is similar to a Limited Partnership's LPA. It spells out the company's management structure, voting rights, distribution or other financial rights, etc.
  2. Fundraising Documents
    1. Private Placement Memorandum (PPM): A PPM is a document most commonly used under a Limited Partnership Model. It provides potential LPs with comprehensive disclosures about the investment, terms of the offering, and associated risk.
    2. Subscription Agreement (SA): An SA is an investor's application to join a Limited Partnership. SAs typically accompany a PPM, and will outline for the investor the rate of return and payment dates for returns.
